AGREEMENT

Member is permitted access (corresponding to his/her membership level; please see MEMBERSHIP SPECIFICS below) to the GENIUSDEN offices for the purposes of:

• Gathering socially with other Members and their Guests
• Conducting business, including meeting with limited numbers of Guests consistent with the Expectations of Members.
• Hosting private or public Events and meetings consistent with the Expectations of Members
• Reserving conference rooms
• Accessing the Internet via wifi or wired Ethernet
• Using the kitchen and bathroom
• Access to these community resources

Members are solely responsible for loss of and/or damage to their equipment and belongings. Aside from snacks provided by GENIUSDEN, all food and drink (including food at parties, lunches, beverages, etc.) consumed socially on the premises is considered to be offered by one Member or Guest to another, and is not in any way warranted or monitored by the Ownership itself. Each Member agrees to indemnify and hold Owners harmless from and against all liability of every kind and nature arising out of food and drink provided by such Member to Guests and other Members.

Prior to signing this agreement, Member must present a valid credit card or other payment form, which will be charged membership dues each month (corresponding to Members membership level). Cases in which payment is denied by the card issuer will be re-billed immediately after notifying the Member, and a third failure will terminate Member’s rights under this agreement.

Lease amount on execution of lease includes first month’s and last month’s rent. All outgoing Members agree to do the following before move out:

1. Return their RFID or physical key (if any)
2. Empty their office or locker (any items remaining after 2 weeks will be donated to a charitable organization)
3. File a change of address with the USPS (any mail arriving after 2 weeks will be returned to sender)

Circumstance that will result in the Management terminating membership:

• Abusive behavior – be nice.
• Behavior that the Management reasonably believes will result in harm to any Member, Guest, or other
• Substantial complaints from other Members or Guests
• Independent decision of Management based on economic or other circumstances

Management shall have absolute discretion in determining whether a Membership should be terminated.

We may change this User Agreement. If we make any changes, we will change the Last Updated date below. If it requires massive behavior change, we will let you know.

BENEFITS OF MEMBERSHIP

• Regular maintenance of offices and shared spaces.
• Furnishings for private offices (excluding technology) include desks, chairs, trash cans, and a small filing cabinet.
• Access to and use of the GeniusDen resource library.
• Access to and use of high speed wifi connection and data ports.
• Use of conference rooms and private call rooms by reservation.
• Acceptance of mail and deliveries on behalf of your business.
• Access to member-only social and learning events.

MEMBERSHIP PAYMENTS, FEES

• Payments due at signing: first and last month’s membership fee.
• Late Fees: If payment is not made by the 5th of the month, a $50 fee is due immediately with a $25/day late fee until paid in full.
• No Refunds. There are no refunds of any fees or other amounts paid by you or your members in connection with the services provided by GeniusDen.
• Member agrees to pay Forest Preston, LC $50,000 for every GeniusDen employee or contractor who comes to work for them while working for or within 150 days of leaving GeniusDen. Please don’t poach our people.

YOUR TEAM

You agree to update the member list located at the end of this agreement upon signing. When your team members change in any capacity. Send an email to [email protected] with the name, phone number, email, position, and start-date of new members. Once we have their information, we will give them onboard information directly.

EXPECTATIONS OF ALL MEMBERS

• Treat other members with courtesy and respect.
• Treat the space with respect. Clean up your dishes and trash.
• Contribute work for the good of community.
• Help create goodwill for GeniusDen.

EXPECTATIONS OF HOSTS

• Listen to Members and be ready to make improvements.
• Keep the space running, stocked, and clean.
